Contest Terms and Conditions
In order to enter the Contest, you must agree to these Terms and Conditions ("Terms and Conditions "). Therefore, please read these Terms and Conditions prior to entry to ensure you understand and agree. After reading the Terms and Conditions and in order to participate, each Participant must click the "I understand and agree" box (or the equivalent) on the Contest entry webpage. Once the Participant clicks the "I understand and agree" box (or the equivalent), the Terms form a binding legal agreement between each Participant and Orange with respect to the Contest and each submission made by the Participant. Participants may not submit an entry to the Contest unless they agree to these Terms and Conditions.
If a Participant is part of a team, each member of the team must read and agree to these Terms.
1.For the purposes of these Terms and Conditions, the term Orange Jordan, when used with reference to a legal entity, shall mean PETRA JORDANIAN MOBILE TELECOMMUNICATION COMPANY LTD.
2.The Mobile Application Development Contest (“Contest”) is a contest initiated by Orange Jordan to support Innovators, Developers and Entrepreneurs to produce innovative mobile applications and solutions serving the local needs and challenges. The Contest will create an innovative environment for the Participants to create professional mobile applications and solutions and provide the necessary support for taking these projects successfully to the market.
3.The Contest shall run from 16th of May 2011 to 30 of July 2011. Orange Jordan can curtail or extend the Contest Period, as it deems necessary.
4.The Contest shall be valid in Jordan only; however, the Contest is open for Participants from all countries.
5. Participants could apply as individuals or teams or as a company (startup or established).
6. Participants who are entering as part of a team, the team is responsible for ensuring the funds are appropriately distributed to each member of the team and each member of the team must agree upon the method of payment. In addition, , a team leader should be designated as a point of contact. Once a team has registered, the team may not add, remove, or substitute members or otherwise change the composition of the team for the duration of the Contest. The eligibility of the Participant is tied to the team's eligibility; if one member of the team does not comply with these Terms and Conditions or is disqualified, the team as a whole will be disqualified.
7.Participants who are entering as a business entity, corporation, or other legal entity (hereinafter collectively referred to as "Business Entity"), Participant warrants that the appropriate corporate officers, executives, managers or other persons who have the authority to approve Participant's entry into this Contest have approved the Participant's entry and the Participant understands that these terms will be binding on both the Participant and his/her Business Entity. Furthermore, the Participant understands that if the Participant enters without obtaining the appropriate approval, Orange Jordan may disqualify the Participant's entry.
8.Individual Participant who completed sixteen (16) years old but less that eighteen (18) years old must obtain his/her parent/guardian approval for participation in the Contest. The Participant understands that if the Participant enters without obtaining the prior approval of the parent/guardian, Orange Jordan may disqualify the Participant's entry.
9.The Mobile Application should be useful application which meets the needs, solve problems and to be customized to Orange Users Style.
10.The Mobile Application should be developed only for the following: Android/ Blackberry/ Java / Widgets /Symbian /Windows.
11. Applications language is mandatory in Arabic (English is a plus).
12.The Contest is open for the following Participants:
a. Professional Developers and programmers.
b. Engineers and Researchers.
c. Startups & established Companies.
d. Entrepreneurs (Planning to start-up a company or companies underdevelopment and not registered yet).
e. Students (Undergraduates and Postgraduates).
13. The Participant shall be registered at [insert web link], and shall have successfully submitted an Application with its soft code software at: [insert web link], to be eligible for evaluation for the Mobile Application Development Contest.
14. Each Participant must ensure that his/her participation in the Contest is lawful and is in accordance with the applicable laws.
15. THE PARTICIPANT ACKNOWLEDGES AND AGREES THAT THE APPLICATION SUBMITTED BY HIM/HER ON THE WEBSITE FOR THE PURPOSE OF PARTICIPATING IN THIS CONTEST WAS AND WILL NOT BE SUBMITTED TO OTHER TELECOMMUNICATION COMPANIES IN THE HASHEMITE KINGDOME OF JORDAN AND ABROAD. IN THE EVENT THE PARTICIPANT FAILED TO COMPLY WITH THIS TERM, ORANGE JORDAN SHALL BE ENTITLED TO IMMEDIATELY DISQUALIFY HIM/HER FOR THE CONTEST.
16. No participation fee is required to be paid for participating in the Contest.
17. The Participant agrees to provide Orange Jordan current, complete and accurate information.
18. An incomplete online registration form by a Participant shall be rejected. any incomplete, invalid or not received applications will be automatically disqualified.
19. Employees of the Contest Sponsors are not eligible to participate. Declarations for any relationships to the sponsors' Employees are needed if any.
20. Orange Jordan reserves the right to reject any entry form without assigning any reason thereof. Any decision taken in this regard shall be final and binding, and not subject to any dispute or challenge.
21. Orange Jordan may assign any or all of its rights under these Terms and Conditions to its Affiliates without consent of the Participants.
22. The entry to participate in the Contest shall be construed as an acceptance of the Terms and Conditions stipulated herein. Any breach or default by a Participant of any of the Terms and Conditions herein shall result in immediate disqualification without notice.
23. The Participant acknowledges and agrees that (s)he took all necessary measures to guarantee that the submitted application to this Contest by him/her is free from any Virus (Malicious code).
24. The Participant undertakes and declares that for participating in the Contest, (s)he shall not use any unauthorized or pirated software. In the event a Participant is found to be doing so, the entry from such Participant shall forthwith be disqualified from the Contest.
25. Any attempt by a Participant to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil Laws, and should such an attempt be made, Orange Jordan reserves the right to seek damages from any such Participant to the fullest extent permitted by law.
26. Following will be the Judging criteria (“Judging Criteria”) for the Contests, and shall carried out over two (2) phases:
a. Meet the requirements for the Contest phases and meet all deadlines.
b. Solve real problems, challenges and meet specific needs for the Middle east mobile users
c. Customized Applications for the Middle East user.
d. Meet acceptance criteria of Orange.
27. All submitted applications will be evaluated by a professional judging committee from Orange Jordan. Top 50 applications will be selected and to be notified by email and SMS.
28. The selected 50 submitted applications will be evaluated by Orange Jordan judging committee. The top applications will be selected and to notified by email and SMS.
29. The top participants will present their application in front of our Jury in the final presentation Event where they will receive special awards during the Award ceremony.
30. The decision on the Participants selected by Orange Jordan shall be final and binding.
31.THE WINNING PARTICIPANTS IRREVOCABLY AGREE TO GRANT ORANGE JORDAN THE EXCLUSIVE RIGHTS OF DISTRIBUTION OF THE APPLICATIONS DEVELOPED BY HIM/HER. THE WINNING PARTICIPANTS SHALL BE REQUESTED TO SIGN THE RELEVANT AGREEMENTS AND INSTRUMENTS WHICH WILL REGULATE THE PARTNERSHIP AND THE REVENUE SHARING BETWEEN THEM AND ORANGE JORDAN IN REGARDS TO THE SUBMITTED APPLICATIONS AS A PREREQUISITE TO BE ENTITLED TO RECEIVE THE AWARD.
32. Orange Jordan or its Affiliates shall be entitled to use, in any manner, the name, photographs, information, data related to the Participants and/or other details of the applications in any publication and for any other purpose for as long as it deems appropriate. By participating in the Contest, all Participants hereby agree to the same. Orange Jordan may, at its discretion, choose not to disclose the identity of the selected Participant to other Participants.
33. PAYMENTS TO WINNING PARTICIPANTS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO ORANGE ALL DOCUMENTATION REQUESTED BY ORANGE TO PERMIT IT TO COMPLY WITH ALL APPLICABLE TAX LAWS AND REGULATIONS. ALL AWARDS WILL BE NET OF ANY TAXES ORANGE IS REQUIRED TO WITHHOLD. ALL TAXES IMPOSED ON THE AWARD, OTHER THAN THOSE ORANGE IS REQUIRED TO WITHHOLD, ARE THE SOLE RESPONSIBILITY OF THE PARTICIPANT.
34. In order to receive a award, potential award recipients must submit the tax documentation requested by Orange or otherwise required by applicable law, to Orange or the relevant tax authority, all as determined by applicable law, including, where relevant, the law of the potential award recipient's country of residence. The potential award recipient is responsible for ensuring that (s)he complies with all the applicable tax laws and filing requirements. If a potential award recipient fails to provide such documentation or comply with such laws, the award may be forfeited and Orange may, in its sole discretion, select an alternative potential award recipient.
35. In the event the awards involve manufactured items, these shall be subject to manufacturer’s terms and conditions for warranty, service and maintenance, and Orange Jordan does not accept any responsibility for the same.
36. THE PARTICIPANT RETAINS OWNERSHIP OF ALL INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS IN AND TO THE APPLICATION THAT PARTICIPANT HAD BEFORE SUBMISSION. AS A CONDITION OF ENTRY, PARTICIPANT GRANTS ORANGE A PERPETUAL, IRREVOCABLE, WORLDWIDE, ROYALTY-FREE, AND LICENSE TO USE, PUBLICLY PERFORM, PUBLICLY DISPLAY AND CREATE A DERIVATIVE WORK FROM, ANY APPLICATION THAT PARTICIPANT SUBMITS TO THIS CONTEST FOR THE PURPOSES OF ALLOWING ORANGE JORDAN TO TEST AND EVALUATE THE APPLICATION FOR PURPOSES OF THE CONTEST, TO ADMINISTER THE TECHNICAL AND OTHER REQUIREMENTS OF THE CONTEST.
37. ORANGE JORDAN IS NOT RESPONSIBLE FOR ELECTRONIC TRANSMISSION ERRORS RESULTING IN OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATIONS OR TRANSMISSION. ORANGE JORDAN IS NOT RESPONSIBLE FOR THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO OR ALTERATIONS OF ENTRY MATERIALS, OR FOR TECHNICAL, NETWORK, TELEPHONE EQUIPMENT, ELECTRONIC, COMPUTER, HARDWARE OR SOFTWARE MALFUNCTIONS OR LIMITATIONS OF ANY KIND. ORANGE JORDAN IS NOT RESPONSIBLE FOR INACCURATE TRANSMISSIONS OF OR FAILURE TO RECEIVE ENTRY INFORMATION BY ORANGE JORDAN ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEB SITE OR ANY COMBINATION THEREOF. ORANGE JORDAN IS NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL OR OTHER ERROR IN THE PRINTING OF THE OFFER, ADMINISTRATION OF THE CONTEST OR IN THE ANNOUNCEMENT OF
THE AWARDS.
38. The Contest shall be governed by and construed in accordance with the laws of Jordan. Any disputes, differences and, or, any other matters in relation to and arising out of the Contest and, or, pertaining to the rules and regulations and, or, the Terms and Conditions shall be referred to Courts of Centre Amman Qasr Al Adl.
39. The Participant undertakes to indemnify and keep Orange Jordan harmless and indemnified against any loss, damage, claims, costs and expenses which may be incurred or suffered by Orange Jordan due to breach of any Terms and Conditions contained herein by the Participant and/or infringement or violation of any patent, copyright, trademark, trade secret or other proprietary right of a third party by the Participant and, or, arising from the participation of the Participant in the Contest.
40. In addition to these Terms and Conditions, other specific terms may be imposed by Orange Jordan any time to deal with any unforeseen situation. Orange Jordan also reserves the absolute right to change the Terms and Conditions contained herein and, or, any other rules and regulations in respect of the Contest at any time without any notice, without assigning any reason and without any liability whatsoever. Participants are requested to refer to such other terms and conditions, if any, which may be displayed on-line or intimated separately as Orange Jordan considers fit. However, no obligation is cast on Orange Jordan to separately intimate each individual Participant with regard to such additional terms and conditions.
41. Orange Jordan also reserves the right to withdraw or discontinue with the Contest at any stage without any liability whatsoever to the Participant and, or, anyone.
42. An 'Affiliate' means any legal entity owned or controlled by Orange Jordan, which owns or controls Orange Jordan or which is under common ownership or control with Orange Jordan. The term 'ownership' means more than 50% direct or indirect ownership/shareholding and the term 'control' means direct or indirect control of the management or the board of directors.
